2024 Shelby Iron Works Park Fall Festival General Rules

 

  • The 2024 Fall Festival will be on October 12th from 9 am to 3 pm

  • Online pre-registration is required—no walk-up vendors.

  • Applications are due by 12 pm on October 8th.

  • Plan to arrive early. Check-in is between 5:30 am and 7 am. Check-in will be at the Country Store.

  • All vendors must be set up by 8 am, and all vehicles must be removed from the vendor area.

  • No setup is allowed the day before the Event unless park management agrees. As per the vendor agreement, the Park is not responsible for the safety of your equipment.

  • Should you need access to electricity, please get in touch with Jennifer at schs1854@bellsouth.net before registering to discuss. We have limited access to electrical outlets.

  • Vendors must provide their own tents, tables, and chairs. Pricing is as follows: 10 x 10 feet for $30, 10 x 20 feet for $60, and 10 x 30 feet for $90. 

  • Food vendors must have the appropriate licensing.  We only allow the sale of the following food items:

    • Candies

    • Jams, jellies, fruit preserves, marmalade

    • Dried herbs and herb mixes made from commercially prepared ingredients

    • Baked goods: cakes, cookies, glazed pastries, Danish pastries, doughnuts, breads, pies, cheese straws

    • Candied or roasted nuts

    • Popcorn (candied, coated, flavored)

    • Non-alcoholic drinks such as lemonade, flavored beverages, and soft drinks

    • Spices (nonhazardous and considered generally recognized as safe or GRAS by the US Food and Drug Administration)

    • Roasted coffee

    • Dried baking mixes

    • Chocolate or caramel-covered fruit

  • Vendors may set up in their assigned location only. Any vendor setting up in another vendor's space will be removed to make space for the Vendor assigned to that site. 

  • Many factors determine vendor location. Priority is given to vendors that sell physical items. We do allow non-profit organizations to provide an informational table. We do not allow solicitors, politicians, network marketing businesses, or vendors that sell items inappropriate for a family event.

  • Vendors must fully disclose the type of item they sell. If you are uncertain if an item is acceptable at a family-friendly event, please get in touch with Jennifer at schs1854@bellsouth.net to discuss further.

  • If you fail to disclose an item we deem offensive or inappropriate for a family event, you will be asked to leave, and your vendor fee will not be refunded. Once again, if you are in doubt, please get in touch with us by email at schs1854@bellsouth.net to discuss further.

  • Applications will be reviewed as they arrive, and a determination will be made to accept or reject the application. Vendors are selected based on merchandise, product variety, and space availability. If your application is rejected, your payment will be refunded to you along with a letter of explanation. 

  • Application fees are only refundable if the application is approved or the Event is canceled according to the terms addressed in the vendor agreement. 

 

2024 Shelby Iron Works Park Fall Festival Vendor Agreement

 

This Vendor Agreement ("Agreement") is made by and between the Shelby County Historical Society, Inc. ("SCHS, Inc."), located at Shelby Iron Works Park ("Park"), and the Vendor ("Vendor"), whose details are provided below.

Event Details:

  • The Event will occur at Shelby Iron Works Park on October 12th, 2024.

Terms and Conditions:

  1. Rules and Regulations: Vendor agrees to abide by all rules and regulations as outlined in this Agreement and any additional rules provided by SCHS, Inc.

  2. Vendor Presentations: Vendor presentations must not interfere with other vendors.

  3. Copyright and Trademark Compliance: Vendor must comply with all copyright and trademark restrictions.

  4. Legal Compliance: Vendor must comply with all relevant Federal, State, County, and Municipal laws and regulations.

  5. Prohibited Items: No guns, alcohol, vulgar or suggestive merchandise, animals (except for registered pet adoption programs), CBD products, or pornographic materials are allowed. SCHS, Inc. reserves the right to remove inappropriate items.

  6. Vendor Behavior: Vendor behavior must not disrupt the Park's functioning. Inappropriate behavior will result in removal from the Event without a refund.

  7. Sales Tax: Vendor is responsible for collecting and remitting the appropriate sales tax on all sales.

  8. Setup and Teardown: Vendor can set up 2 hours before the Event and must tear down their setup afterward.

  9. Trash and Cleanliness: Vendor must carry away all trash and leave the location clean.

  10. Space Allocation: SCHS, Inc. allocates and assigns specific vendor spaces at its sole discretion.

  11. Indemnification: Vendor agrees to indemnify and hold harmless the Park and SCHS, Inc., its officers, directors, employees, volunteers, and members against any damages or claims that may arise in connection with Vendor's presence at the Event.

  12. Insurance: SCHS, Inc. does not maintain insurance covering Vendor's property. Vendors must obtain their own insurance for business interruption, property damage, or theft.

  13. Damages and Claims: Vendors waive claims for damages except for the return of any fees paid to SCHS, Inc., if the Event is canceled or interrupted.

  14. Equipment and Workers: Vendors must provide their own workers and equipment necessary for their operation.

  15. Governing Law: This Agreement will be governed by and construed in accordance with the laws of the State of Alabama.

  16. Independent Contractor:  Vendor is acknowledged as an independent contractor and not an employee, representative, or agent of SCHS, Inc. or the Park.

  17. Dispute Resolution:  Any disputes arising under this Agreement will be resolved through mediation before any legal action is taken. Both parties agree to participate in good faith in mediation conducted by a mediator agreed upon by both parties. If mediation does not result in a resolution, either party may pursue legal action in accordance with the laws of the State of Alabama.

  18. Event Cancellation: In the event of cancellation due to uncontrollable circumstances (including but not limited to Acts of God, force majeure, pandemics, terrorism, war, illness, public safety concerns, strikes, civil commotion, picketing, fire, state of emergency, or other occurrences beyond the control of management), the Park will refund the vendor's fee within 10 business days.
